如何管理拥有和运作企业?

This type of thinking is common among those who are less successful. The rich and super rich are always concerned about the health and wealth of the companies they are associated with. Most of us rely on their well being to get salaries, bonuses, rewards, pidends and capital gains. If companies are okay, we are okay. We cannot separate and isolate the companies we work in or invest in. We always care whether we own the company or work there.

这种想法在那些不大成功的人中普遍存在。富翁们和超级富豪们一直很关注与他们有联系的公司的健康与财富。多数人靠公司来赚取工资、奖金、报酬、红利和资本收益。如果公司运作良好,我们也受益。我们不能与合作或投资的公司相分离。我们始终关心的是自己拥有一家公司,还是在这家公司工作。

The sense of ownership is so important that many progressive companies have ESOP (Employee Share Option Plans) to reward employees. The aim is to make them owners of the company so that they can associate with it more intimately. Not all ESOP will work if the managers do not provide the conditions and tools for employees to excel.

企业主人翁意识是非常重要的,许多公司都用员工持股方案来奖励员工。此举是为了让他们有主人翁的感觉,能让他们与公司更为紧密的联系在一起。如果经理人不为员工提供成长的条件和发挥能力的舞台,不是所有的员工持股方案都行得通。

When employees are also owners of the company, the directors must ensure good corporate governance and transparency through proper disclosure. There are times when directors who are also large shareholders, confuse themselves with ownership and operational management.

当员工也成为企业的主人翁,董事会必须确保好的管理体制和政策的透明性。很多时候,董事也是公司的大股东,这种既是所有者又是经营者的双重身份让他们自己也糊涂了。

We invested in a healthcare company and had only 5% shares there. We held no directorship on the board and we do not work there. The major shareholder who owned 85% shares in the company, is also the CEO while his wife, a working director owned 10%. During the shareholders’ annual general meeting, we queried why the transportation expenses were so high in a company of less than 15 full-time staff. The CEO replied that it was for his family’s four cars, yacht expenses and air travel expenses. It amounted to some S$400,000 and we asked if this were appropriate for them to do so. They felt that since they owned the majority of the company, they could simply pass a resolution to effect it. The company earned about $500,000 net profit and had such expenses not been appropriated; the company would have earned about $1 million.

It is about fairness to the minority. Unless they have agreed, it is not fine to do so. It is about being open, objective and fair. Can you imagine how the employees would react if they were the minority shareholders?

这就是关于对小股东的公正性的问题。除非他们同意,否则这样做不好。这是公开、公正与公平的问题。您能想象如果他们是小股东却这样乱花钱的话,员工会做何反应?

Company directors who are major shareholders must strive to have on their boards at least three independent directors, who preferably do not own shares in the companies they act as directors. As owners of businesses can play three roles all at the same time – the major shareholder, board director and chief operating officer – it is vital that they learn to abstain from voting on matters that benefit oneself. For instance, paying you a bonus as CEO or declaring perks for yourself or taking money out of the company without proper authorization.

作为主要持股人的公司董事,应当尽量保证董事会至少有三名独立董事,他们最好在公司没有股份,仅仅担任公司董事。作为企业所有者可以同时担任三种角色,大股东、董事长和CEO——他们学会回避表决对他们自己有利的事是非常重要的。例如:支付CEO奖励红利,或在没有相应授权的情况下挪用公司资金。

To motivate people to own a part of the company, they must feel that the company’s major shareholders, directors and top managers are all working towards making the company better. If the pilot starts to parachute, what do you think the crew members would do?

为让员工成为公司的一份子, 员工必须感到公司主要的股东、董事、高级经理都在为公司的发展做出贡献。 试想一下,如果飞机驾驶员都准备跳伞逃命了,乘务员将会怎样做呢?

It is essential to differentiate between ownership and managing especially among founders or operators of business. They have a tendency to confuse the three roles. The sensible business owners will find investment-minded managers to run their companies. Why should you have to put up the money, time, energy, and risks and so much more for a business? As investors, wouldn’t it be more appropriate for us to talent scout effective managers to run the business for us?

区分企业的所有者与管理者,尤其是企业的创始人或是企业经营者是至关重要的,人们常会把这三种角色混淆。明智的企业老板会找一位有投资意识的经理人来管理公司。何必为了企业运营而投入大量的资金、时间、精力和风险呢?作为投资者应该发掘合适的人才来为我们管理公司。

As investors we need not have to run the businesses to earn decent returns. We need not own 100% of a bank, airline, restaurant, hotel, drug company, school to enjoy returns. I need not have to run around to collect rents from tenants just because I like to invest in properties. I can simply invest in companies that have proven moneymaking people. We can save all these hassle by knowing how to separate owning and operating.

What are you doing to gain more from owning a business without operating it?

作为投资人,我们不需自己经营公司来赚钱。我们也不须全资拥有银行、航空公司、餐馆、药店或学校来赚钱。因为我喜欢房产投资,不必四处奔波收取房客的租金,我只需将钱投资到热心于赚钱的公司里。我们可以保留所有争论来了解如何区分拥有企业和经营企业。 

如何不去经营企业,而又能从自己所拥有的企业中赚取更多的回报呢?
