This Confidentiality Agreement (the "Agreement") is entered intoand is effective as of ___________(the "Effective Date") by andbetween., 1 Infinite Loop, Cupertino, California 95014("Apple") and , located at __________________________ ("Company").

1. Definition OfConfidential Information.For their mutual benefit, the parties plan to discuss certainconfidential information regarding the project code-named “K48”(the "Project"). The parties agree that the termsand conditions of this Agreement, the nature of their businessrelationship, including, if applicable, the fact that one partyprovides or may provide goods or services to the other, and theparties' discussions concerning the Project will be consideredconfidential information covered by this Agreement ("ConfidentialInformation"). In addition, any other nonpublicinformation which one party ("Discloser") discloses to the otherparty ("Recipient") in the course of their communications regardingthe Project will be considered Confidential Information, includingbut not limited to nonpublic product plans, designs, costs, prices,names, finances, marketing plans, business opportunities,forecasts, orders, personnel, customer information, research,development, know-how, third party confidentialinformation or information learned by Recipient from Discloser’semployees, agents or through inspection of Discloser’s property;provided such information is clearly designated as "Confidential":(i) in writing, if communicated in writing, or (ii) at the time ofdisclosure, if disclosed orally or visually.Notwithstanding the foregoing, Confidential Information shall notinclude information that: (a) is now or subsequently becomesgenerally available to the public through no fault or breach on thepart of Recipient; (b) Recipient can demonstrate to have hadrightfully in its possession prior to disclosure to Recipient byDiscloser; (c) is independently developed by Recipient without theuse of any Confidential Information; or (d) Recipient rightfullyobtains from a third party who has the right to transfer ordisclose it to Recipient without limitation.Nothing in this Agreement will obligate either party to discloseany Confidential Information.
机密消息的定义:为了双方的利益,签约双方计划讨论关于代码为K48的计划(简称“计划”)。经协商,签约双方同意本协议所列条款和条件,双方的商业关系包含,如果适用的话,一方向另外一方提供或可能提供商品和服务,并且双方有关“计划”的讨论内容将被视为本协议中(保密协议)所述的机密信息。此外,在双方讨论有关“计划”的内容期间,一方向另一方透漏的任何非公开的信息,视为机密信息,其中包括,但不限于,非公开产品计划、设计、成本、价格、名称、经费、市场计划、商业机会、产品预测、订单、个人和客户信息、研发状态、专业技术知识、第三方机密信息或由告知方员工出得到的信息、代理或告知方的财产等,以上所列各项信息以(i)文字方式(以信件方式进行讨论)或(ii)当面的口头的方式由一方透漏给另外一方的,均为机密信息。机密信息不包括以下内容:(a)非被告知方的过错或是违背协议,而致使信息在现在或今后普遍可获得的;(b)被告知方能够证明在告知方之前就已经获得的信息;(c)被告知方未使用保密协议而独立获得的信息;(d)被告知方通过正当方式从第三方获得的信息,其中第三方不受任何制约,有权透漏消息。签约双方有义务和责任确保此协议所述内容不外泄。
2. Nondisclosure andNonuse of Confidential Information. Recipientagrees to protect Discloser’s Confidential Information, using atleast the same degree of care that it uses to protect its ownconfidential and proprietary information of similar importance, butno less than a reasonabledegree of care. Recipient agrees to useDiscloser's Confidential Information for the sole purpose of uationin connection with the Project and discussions with Discloserrelated to the Project, or as otherwise agreed upon in writing byan authorized representative of Discloser. Recipient will notdisclose, publish, or disseminate Confidential Information toanyone other than those of its employees and consultants who have aneed to know in order to accomplish such purpose and who are boundby a written agreement that prohibits unauthorized disclosure oruse of Confidential Information. Recipient willbe responsible for any violation of the terms of this Agreement byits employees and consultants. Recipient agreesnot to use Confidential Information for any other purpose or forits own or any third party's benefit without the prior writtenconsent of an authorized representative of Discloser in eachinstance. Recipient may disclose ConfidentialInformation to the extent required by law, provided Recipient makesreasonable efforts to give Discloser notice of such requirementprior to any such disclosure and takes reasonable steps to obtainprotective treatment of the Confidential Information. To insurethat it is not disclosed to anyone (including any Apple employee,contractor or agent) who does not have an absolute need to know,you will not,without’s express written approval, disclose Apple ConfidentialInformation to anyone except:

Failure to comply with the terms of this Agreement could causeirreparable harmto, and would result in substantial damages, the amount of whichwould be difficult to ascertain. Therefore,should Company materially breach any terms of this Agreement, ondemand from Apple, Company shall immediately paytoliquidated damages of US$5 million.
不泄露和使用机密信息。被告知方同意保护告知方所告知的机密信息,其重视程度至少要像保护被告知方自己的机密信息或其他同等重要的信息一样,但要在合理范围之内。被告知方同意仅将告知方所告知的机密信息用于“计划”的评估和与告知方进行的相关讨论。被告知方将不得将机密信息泄露给他人,或进行刊登、散布,除了告知被告知方的雇员和顾问,这些雇员和顾问必须使用机密信息才能完成“计划”,或完成制作有关禁止透漏和使用机密信息的书面协议。被告知方将对其雇员和顾问违背本协议所造成的后果承担责任。被告知方在未取得告知方所委托的全权代表所出具的书面同意前,不得将保密协议用于其它目的,或自己使用,或提供给第三方使用。如果受法律、法规的要求,需要将机密信息透漏给相关单位,被告知方需首先通过合理的方式提前通知告知方,并采取了合理的保护机密信息的措施。为确保无关人员(包括AAPLE公司的员工、订约人或者是代理)获得机密信息,告知方在未得到APPLE公司正式的书面批准前,不得将APPLE公司的机密信息透漏给任何人,以下所列人员除外:

违背本协议所列条例,任意透漏机密消息将会给对公司带来不可挽回的损失,甚至会对公司产生严重的、无法估价的破坏。因此,如果签约方违背本协议中条款的规定,擅自泄露机密信息,需支付公司违约赔偿金五百万美金。
3. No License toConfidential Information. Except as expressly set forth herein,no license or other rights to Confidential Information are grantedor implied hereby and the Discloser retains all of its rightstherein.
除非协议中特别阐明,将不承认有任何有关机密信息的特许或其它权利,告知方保留其所有关于机密信息的权利。
4.Feedback. Notwithstanding any other provisionin this Agreement, if Recipient provides any ideas, suggestions orrecommendations to Discloser regarding Discloser's ConfidentialInformation ("Feedback"), Discloser is free to use and incorporatesuch Feedback in Discloser’s products, without payment of royaltiesor other consideration to Recipient, so long as Discloser does notinfringe Recipient's patents, copyrights or trademark rights in theFeedback. Nothing in this Agreement is intendedto grant a license or waive any rights in either party's patents,copyrights or trademarks.
除非另有规定,如果被告知方为告知方提供和机密信息有关的任何看法、意见或者建议(简称“反馈”),告知方有权使用和借鉴此反馈信息,用于其产品,不需要向被告知方支付版税费或其他报酬,只要告知方在使用反馈信息时不侵犯被告知方的专利权、著作权和商标权。双方仍享有各自的专利权、著作权和商标权,不受本协议的限制。
5. IndependentDevelopment. Discloserunderstands that Recipient may currently or in the future bedeveloping information internally, or receiving information fromother parties that may be similar to Discloser's ConfidentialInformation. Nothing in this Agreement willprohibit Recipient from developing products, or having productsdeveloped for it, that compete with Discloser’s products, providedthat in doing so, Recipient does not use or disclose Discloser’sConfidential Information.
告知方需明白被告知方可能当前或者将来在内部扩充信息,或从其它方面获得与告知方想死的机密信息。本协议将不限制被告知方更新其产品,并形成与告知方的产品的竞争。这种情况下,被告知方不得使用或泄漏告知方所提供的机密信息。
6. NoWarranty. Discloser warrants that it has theright to disclose the Confidential Information toRecipient. Otherwise, all information is provided"AS IS" and without any warranty, express,implied or otherwise, regarding its accuracy or performance.
告知方保证其拥有向被告知方提供机密信息的权利。否则,在没有明确的授权的情况下,关于信息的准确性和可执行性,所有告知方提供的机密信息将被附上“不予改变”字样。
7. Return ofDocuments. Within ten (10) business days ofreceipt of Discloser’s written request, and at Discloser’s option,Recipient will either return to Discloser all tangible ConfidentialInformation, including but not limited to all electronic files,documentation, notes, plans, drawings, and copies thereof, or willprovide Discloser with written certification that all such tangibleConfidential Information of Discloser has been destroyed.
在收到到告知方的关于返回文件的书面要求后十个工作日内,被告知方可以将所有切实的机密信息,包括,但不局限于,所有电子文档,文件,说明,计划,制图和其复印件还给告知方,也可以向告知方出具以上所述涉及机密信息的所有文件已经被全部销毁的书面证明,告知方可在上述两种方式中选择其一执行。
8. Term andTermination. Recipient's duty to protectDiscloser's Confidential Information expires five (5) years fromthe date on which that Confidential Information was disclosed toRecipient. Either party may terminate thisAgreement upon ten (10) days written notice; however, anytermination of this Agreement shall not relieve Recipient of itsconfidentiality and use obligations with respect to ConfidentialInformation disclosed prior to the date of termination.
被告知方将从告知方向其提供机密信息之日起5年内,保护机密信息不外泄。任何一方需提前10天提供书面说明后方可解除本协议。协议解除之后,告知方有义务在此协议所规定的保密期限内保护被告知方的机密信息不外泄。
9. No Export.Recipient may not use or otherwise export orreexport any portion of the Confidential Information except asauthorized by United States law and the laws of the jurisdiction inwhich the Confidential Information was obtained. In particular, butwithout limitation, the Confidential Information may not beexported or re-exported (a) into any U.S. embargoed countries or(b) to anyone on the U.S. Treasury Department's list of SpeciallyDesignated Nationals or the U.S. Department of Commerce’s DeniedPersons List or Entity List. By using theConfidential Information, Recipient represents and warrants thatRecipient is not located in any such country or on any such list.Recipient also agrees that Recipient will not use the ConfidentialInformation for any purposes prohibited by United States law,including, without limitation, the development, design, manufactureor production of nuclear, missile, chemical or biologicalweapons.
除非有美国法律或其它法律的授权,被告知方不能使用或输出或再输出机密信息的任何部分。保密协议不能输出或重复输出至(a)美国所禁运的国家或(b)美国财政部提供的名单上所指定的国家;美国商务部所否决的个人和单位。被告知方必须保证其为在以上所述国家建立分公司,并不在以上所述个人和单位名单之列。被告知方同意不将机密信息用于违反美国法律的其他目的,包括,但不局限于,核武器、导弹和生化武器的研究、设计、制造和生产。
10. No Implied Waiver. Neitherparty’s failure or delay in exercising any of its rights willconstitute a waiver of such rights unless expressly waived inwriting.
除非正式的书面弃权说明,任何一方由于过错或延迟行使其权利时,都不得视为弃权。
11. No Assignment.This Agreement may not be assigned by either party by any means,including without limitation, by operation of law or merger,without the prior, written consent of the otherparty. Any attempted assignment of this Agreementin violation of this section will be void.
双方不得以任何形式转让此协,包括,但不局限于,未经另外一方的预先的书面同意进行法律操作或合并。任何违背此项条款规定而擅自转让此协议的行为均视为无效。
12. Entire Agreement and Governing Law.This Agreement constitutes the entire agreement with respect to theConfidential Information disclosed pursuant to this Agreement andsupersedes all prior or contemporaneous oral or written agreementsconcerning such Confidential Information. ThisAgreement may not be amended except by written agreement signed byauthorized representatives of both parties. ThisAgreement will be governed by and construed in accordance with thelaws of the State of California, excluding that body of Californialaw concerning conflicts of law. The partiesfurther submit to and waive any objections to the exclusivejurisdiction of and venue in any of the followingforums: U.S. District Court for the NorthernDistrict of California, California Superior Court forSantaClara County, or any other forum in Santa Clara County, for anylitigation arising out of this Agreement.
本协议为关于机密信息的最终协议,之前或同时期的其他口头或书面协议同时无效。未经签署双方的授权代表签署修改协议,不得擅自修改本协议。本协议所列条款将与加利福尼亚州的法律(有关冲突方面的法律规定部分除外)保持一致,并受其制约。签约双方之间有关此协议产生的法律问题可在以下所列法庭解决:美国联邦加利福尼亚州北部地方法院、加利福尼亚州SantaClara 城高级法庭或Santa Clara 城其它的法庭。对裁决结果,双方必须遵照执行。
